Firm Overview

ALLY Global Management (“AGM”) is a leading real estate and growth equity investment firm based in Bangkok and New York. AGM invests alongside our clients and partners across five key verticals, including Thailand REIT, Thailand Opportunistic Real Estate, Global Opportunistic Real Estate, Media & Entertainment, and Growth investments. The firm has assets under management of $1.3+ billion and has made 40+ investments since inception in 2019.

Role Description

AGM is seeking to hire a Global Operations Associate. Global Operations is part of the firm’s central infrastructure and is responsible for the administration and operations of various investments and funds of the Global Opportunistic Real Estate, Media & Entertainment, and Growth investment verticals. The Associate will be closely assisting the Legal & Operations Director based in New York

This position is based in Bangkok and will report directly to the Legal & Operations Director based in New York.

Key Responsibilities include, but are not limited to:

- Assist with U.S. or offshore entity formations, prepare drafts of corporate organizational documents, and other integral corporate documents/materials; handle state filings; manage entity governance and compliance; and set up new bank accounts as per the investment structure of each investment.

- Maintain meticulous corporate records, manage corporate databases, and document repositories.

- Conduct due diligence on potential investment opportunities by collecting, organizing, and reviewing relevant legal and financial documents; prepare due diligence reports summarizing findings, highlighting potential risks, and recommending appropriate actions.

- Support transactional closings, including preparing checklists, coordinating logistics, and handling post-closing activities.

- Draft simple agreements, NDAs, and proofread commercial contracts and other legal documents.

- Assist in reviewing fund/investment structure documents.

- Prepare, review, and monitor capital call notices and provide the notices to relevant parties.

- Follow up with investment sponsors for K-1 or other relevant documents for tax filings.

- Conduct monthly reconciliation of bank accounts, coordinate with external accountants/auditors, and assist with tax or other compliance filings for our U.S. entities and offshore entities.

- Offer comprehensive administrative support to the legal and operations team, including calendar management, and managing transactional timelines, deadlines, and deliverables.

- Conduct thorough legal research on various topics, including taxes, media, and intellectual property laws.

- Provide support with other responsibilities as needed.

Qualifications:

- Bachelor degree or higher in legal and business-related fields, or equivalent experience

- At least 5 years of legal or fund administrative experience

- Strong legal background preferred

- Excellent analytical, technical, and communication skills

- Able to multi-task and effectively manage own time

- Knowledge of corporate practice area and M&A strongly preferred

- Ideal candidate will be an exceptionally bright, enthusiastic, and highly motivated individual

- Excellent verbal and written communication skills, including solid grammar skills; strong attention to detail; exceptional proofreading skills

- Exceptionally well organized and detail oriented, self-motivated and able to work independently.

- Ability to track and meet deadlines and manage multiple projects simultaneously. Adaptable to ever changing priorities in a dynamic work setting. Able to troubleshoot issues and develop creative solutions. Possess strong project management skills
