We are seeking a part-time Health Transactions & Regulatory Paralegal for our Des Moines or Minneapolis office. As a paralegal, you are a critical part of Dorsey’s client service teams, working side by side with lawyers and clients on an array of substantive client matters. This is a part-time position working approximately 20 hours/week.

In this role, you will:
• Prepare and file corporate formation documents with various state and federal agencies, such as the Iowa Secretary of State, the U.S. Internal Revenue Services, in order to obtain tax ID and other unique business identifiers needed to obtain licensure and provider enrollment.
• Provide initial review of transaction data rooms for due diligence review, including review of contractual obligations of buyer/seller entities for material contracts; as well as initial drafting of client-focused due diligence reports.
• Prepare Change of Ownership (“CHOW”) applications with various entities, drafting initial letters of support, presentation slides and complete online filing of CON deletion/reduction forms.
• Prepare Certificate of Need (“CON”) applications with various entities, drafting initial letters of support, presentation slides and complete online filing of CON deletion/reduction forms.
• Assemble information and prepare materials for attorney.
• Communicate with clients on preliminary or relatively routine data collection or other information.
• Apply basic knowledge of legal procedures, electronic discovery and document management, terminology, and activities to paralegal tasks.
• Perform other tasks as necessary or as directed.

What we’re looking for:
• Bachelor’s degree and/or Paralegal Certificate or equivalent experience.
• Excellent verbal and written communication skills to interface with attorneys, clients and regulatory agencies.
• Excellent organizational skills and attention to detail.
• Excellent time management skills with a proven ability to meet shifting and competing deadline.
• Superior analytical and problem-solving skills.
• Proven ability to maintain confidentiality, and to exercise absolute discretion and excellent judgment.

Preferred:
• Basic knowledge of state and federal agencies and general knowledge of who regulates healthcare entities, ie: - Iowa Department of Inspection and Appeals, Iowa Department of Health and Human Services, Iowa Medicaid - Enterprise, Wisconsin Physician Services (Provider for Centers for Medicare and Medicaid).
